Terms of Service

By accessing https://carbonnetworksolutions.com (the "Site") or engaging Carbon Network Solutions ("we," "our," or "us") for consulting services, you ("Client" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Site or our services.

Carbon Network Solutions provides IT consulting services including, but not limited to, network engineering, infrastructure design and deployment, systems administration, virtualization, cloud migrations, and custom integrations (collectively, "Services"). The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate Statement of Work ("SOW") or consulting agreement signed by both parties.

These Terms apply to all engagements unless superseded by a written agreement. In the event of conflict, the signed SOW or consulting agreement governs.

Payment Processing via Stripe

Invoices for consulting services are payable via credit/debit card or ACH bank transfer. Card payments are processed securely by Stripe, Inc., a third-party payment processor. By submitting payment, you agree to Stripe's Services Agreement and authorize Carbon Network Solutions to charge the applicable fees to your chosen payment method.

Carbon Network Solutions does not store full card numbers, CVV codes, or other sensitive payment credentials. All payment data is handled and encrypted by Stripe in accordance with PCI-DSS standards.

ACH Payments via Plaid

If you elect to pay by ACH bank transfer, you may be asked to verify your bank account through Plaid Technologies, Inc. Plaid allows you to securely link your bank account so that we can initiate ACH debit transactions. By completing bank account verification through Plaid, you authorize Carbon Network Solutions to debit the specified account for the agreed invoice amounts.

ACH transactions are subject to standard processing times (typically 3–5 business days). You are responsible for ensuring sufficient funds are available. Returned or failed ACH transactions may be subject to a $25 return fee.

Invoice Terms

Unless otherwise specified in the SOW, invoices are due net 14 days from the invoice date. Overdue balances accrue interest at 1.5% per month (18% per annum) or the maximum permitted by law, whichever is lower. Carbon Network Solutions reserves the right to suspend services for accounts more than 30 days past due.

All consulting fees are earned upon delivery of services. We do not offer refunds for completed work. If you wish to cancel an engagement mid-project:

• You will be billed for all work completed through the cancellation date, prorated based on hours worked or milestones delivered.
• Any prepaid retainer amounts not yet applied to billable hours will be refunded within 14 business days, less any applicable fees.
• Cancellation requests must be submitted in writing to [email protected].

If you believe a charge was made in error, contact us within 30 days of the charge date. We will investigate and, if warranted, issue a credit or refund via the original payment method.

You agree to:

• Provide accurate information necessary to perform the requested services
• Grant timely access to systems, credentials, and personnel as required
• Review and approve deliverables in a timely manner
• Ensure you have authority to authorize any changes to your IT infrastructure
• Maintain appropriate backups before we perform any work on your systems

Unless otherwise agreed in writing, all custom work product (scripts, configurations, documentation) created specifically for your engagement becomes your property upon receipt of full payment. Carbon Network Solutions retains ownership of any pre-existing tools, frameworks, or methodologies used to deliver services.

Both parties agree to hold the other's confidential business and technical information in strict confidence and not disclose it to third parties without prior written consent. This obligation survives termination of any engagement for a period of 3 years.

THE SITE AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE FULLEST EXTENT PERMITTED BY LAW, CARBON NETWORK SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE FEES PAID BY YOU TO CARBON NETWORK SOLUTIONS IN THE 90 DAYS PRECEDING THE CLAIM.

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Wyoming, and both parties consent to personal jurisdiction there.

We reserve the right to update these Terms at any time. The "Last updated" date at the top will reflect the most recent revision. Continued use of the Site or our services after changes constitutes acceptance of the revised Terms.
